These Terms of Service ("Terms") govern your access to and use of UTOPMED STUDIOS SRL's Service. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and able to form a binding contract.
2. Accounts
You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. Subscriptions, billing & refunds
- Paid plans renew automatically until cancelled.
- You may cancel any time from the billing page; access continues until the end of the current period.
- EU/UK consumers — 14-day right of withdrawal. Consumers resident in the EU/EEA or United Kingdom may withdraw from an initial purchase within 14 calendar days of the contract date and receive a full refund, in accordance with EU Directive 2011/83/EU and Romanian Government Emergency Ordinance OUG 34/2014.
- Renewals and additional billing cycles are non-refundable.
- We may change pricing with at least 30 days' notice; changes apply to the next renewal.
- Taxes (VAT/sales tax) are calculated, collected and remitted at checkout by our payment processor.
4. Credits & generations
Credits power image, video, and voice generations. Credits are not money, have no cash value, are non-transferable, and expire when your subscription ends.
5. Acceptable use
You agree not to use the Service to:
- Violate any law or third-party right (including IP and privacy rights).
- Generate sexual content involving minors, non-consensual sexual content, or content that incites violence or self-harm.
- Produce content that impersonates a real person without consent, including deepfakes of public figures used deceptively.
- Send spam, phishing, malware, or scraping at scale.
- Reverse-engineer the Service or circumvent rate limits.
We may suspend or terminate accounts that violate these rules.
6. Your content & licence to us
You retain all rights to content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, and process Your Content solely to provide and improve the Service. We do not use Your Content to train public foundation models.
7. AI-generated output
Subject to your compliance with these Terms and applicable law, you own the output you generate from your inputs. AI output may be inaccurate, offensive, or similar to output produced for others. You are responsible for reviewing output before use, including for legal, regulatory, brand, and IP compliance.
8. Our IP
The Service, including code, design, trademarks, and documentation, is owned by UTOPMED STUDIOS SRL and protected by IP law. No rights are granted except as expressly stated.
9. Third-party services
The Service integrates third-party providers (Stripe, Supabase, AI vendors, etc.). Your use of those services is governed by their terms. We are not responsible for third-party content or availability.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTOPMED STUDIOS SRL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD 100, WHICHEVER IS GREATER.
12. Indemnification
You will indemnify and hold harmless UTOPMED STUDIOS SRL from any claim, loss, or expense arising from Your Content, your use of the Service, or your breach of these Terms.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms or where required by law. Sections that by their nature survive termination (IP, disclaimers, liability, governing law) continue to apply.
14. Governing law & disputes
These Terms are governed by the laws of Romania, without regard to conflict of laws. The competent courts of Bârlad, Vaslui County, Romania have exclusive jurisdiction, except that consumers may rely on mandatory protections of their country of residence and bring proceedings in the courts of that country.
15. EU online dispute resolution
EU consumers may use the European Commission's online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obliged to and do not commit to participate in alternative dispute resolution procedures.
16. Changes
We may update these Terms; we will give at least 14 days' notice of material changes. Continued use after the effective date constitutes acceptance.
